Shareholder Representative Services Announces New COO

Treasury and Risk Management Expert Helps Protect more than $3 Billion in Escrows and $4 Billion in Earnouts

SAN FRANCISCO--()--SRS | Shareholder Representative Services, the leading post-closing expert for private company mergers and acquisitions, today announced the new hire of William Lau as Executive Director and Chief Operating Officer. He will oversee global operations, including finance, accounting, planning, treasury, and administrative activities for SRS from the firm’s San Francisco office.

“With billions of dollars at stake in escrows and earnouts, shareholders want to hire the most experienced, established and reliable shareholder representative,” said Mark Vogel, Managing Director at SRS. “Bill brings deep knowledge of financial operations gleaned from more than two decades of treasury and risk management experience. He is an important addition to SRS’ executive management team as we continue to grow and innovate to serve our clients and protect their interests.”

Lau previously served as the Vice President and Treasurer of GenCorp Inc., (NYSE:GY), an aerospace and defense manufacturer, and as the Vice President and Treasurer of Catellus Development Corp., an industrial real estate investment trust. Prior to that, Lau was a Managing Director at Bank of America, (NYSE: BAC), where he held various positions in corporate treasury and syndicated finance. He earned an M.B.A. in finance from the University of California at Los Angeles and holds a B.A. in Economics from Stanford University.

“SRS has always put client needs first,” said Lau. “This means delivering exceptional customer service, as well as ensuring excellence behind the scenes with our state-of-the-art systems and processes.”

Since pioneering the role of professional shareholder representative in 2007, SRS has established itself as the leading post-closing expert for issues that arise in private company M&A transactions. Because these issues are diverse and unpredictable, SRS has a team of more than 30 experienced attorneys, financial professionals, operations and systems experts, and entrepreneurs with the depth and breadth to manage all issues until there is nothing left to do. Other recent additions to the SRS team include:

  • Raymond Cho, formerly litigation counsel for Google, is responsible for managing litigation and arbitration for disputes that arise throughout the post-closing escrow period for SRS clients.
  • Don Morrissey is executive director and head of SRS’ life sciences practice, bringing over 15 years of leadership experience in the life sciences sector where he helped grow two venture-backed companies through initial public offerings.
  • Daniel Slutzky, former CFO of Benchmark Capital Israel, leads SRS’ newest office in Israel.
  • Chris Han, previously an attorney in the M&A group of Shearman & Sterling, is the newest member of SRS’ pre-closing team responsible for providing pre-closing advice to mitigate post-closing risks and assessing the post-closing responsibilities of SRS.
