TCF Financial Corporation Announces Results of Annual Meeting

WAYZATA, Minn.--(BUSINESS WIRE)--TCF Financial Corporation (“TCF”) (NYSE:TCB) announced today, following its annual meeting, that TCF stockholders elected fifteen directors, approved an increase in the number of authorized shares reserved for issuance under the TCF Employees Stock Purchase Plan – Supplemental Plan, approved revised and additional performance criteria under the TCF Performance-Based Compensation Policy, approved revised and additional performance criteria under the TCF Financial Incentive Stock Program, approved an Amended and Restated Certificate of Incorporation to eliminate supermajority voting requirements, voted in favor of TCF’s executive compensation, and voted in favor of the appointment of KPMG LLP as independent registered public accountants for the fiscal year ending December 31, 2011. Stockholders also elected to vote on executive compensation on an annual basis.
