SAN DIEGO--()--Robbins Umeda LLP has commenced an investigation into possible breaches of fiduciary duty and other violations of state law by Danfoss A/S ("Danfoss"), the majority shareholder of Sauer-Danfoss Inc. ("Sauer-Danfoss") (NYSE: SHS), and Sauer-Danfoss' directors in connection with Danfoss' tender offer to cash out the minority shareholders of Sauer-Danfoss. Danfoss intends to launch a cash tender offer of $10.10 per share, without interest and less any required withholding tax, for all of the outstanding shares of common stock of Sauer-Danfoss it does not already own. Danfoss intends to commence the offer in the first week of January 2010.
